Whats on your plate?
Oversee and manage all legal matters related to corporate governance, including board meetings, shareholder meetings, and corporate filings for the company and its subsidiaries across the region.
Advise on mergers and acquisitions, including drafting and negotiating agreements, conducting due diligence, and managing the closing processes, whenever its needed.
Ensure compliance with corporate laws and regulations, including the Companies Law.
Assess directors' liabilities and establish the best governance framework to protect the company and its directors, including their rights, and define clear processes for their appointment and exit as directors.
Draft, review, and negotiate a wide range of corporate agreements, including shareholder agreements, joint venture arrangements, intercompany agreements, and partnership or cooperation agreements across the group.
Provide legal advice on day-to-day and strategic corporate matters, including changes in directorship, capital increases or reductions, dividend declarations, corporate structuring, and entity-level governance decisions across all jurisdictions in which the company operates.
Draft and manage corporate approvals, including shareholder and board resolutions, powers of attorney, and delegations of authority to support operational and strategic initiatives.
Oversee the legal governance of all subsidiaries, including incorporation, liquidation, and ongoing compliance with jurisdiction-specific company laws.
Support capital market activities such as rights issues, public disclosures, share repurchase programs, and capital restructuring efforts, ensuring legal compliance with relevant stock exchange and securities authority requirements.
Liaise with external legal counsel on complex corporate transactions and disputes whenever needed.
What did we order?
A Bachelor of Laws (LLB) degree is required; a Master’s degree (LLM) in Corporate
Should be a qualified legal practitioner (e.g., admitted to the bar or licensed to practice law) in at least one recognized jurisdiction; not mandatory but highly preferred.
Minimum of 5 years post-qualification experience (PQE), with a strong focus on corporate law, governance, and transactional work, ideally gained in a top-tier law firm and/or an in-house legal department of a listed or multinational company.
Demonstrated experience managing legal matters across multiple jurisdictions, including familiarity with company law frameworks in the MENA region.
Strong drafting, negotiation, and analytical skills with a high level of attention to detail.
Excellent command of English and Arabic, both written and spoken.
