About the opportunity

What's on your plate?

Commercial/ Corporate

Lead and manage the legal documents and advising related to the Company’s commercial matters and transactions with external parties, and corporate legal matter, that includes the following: 

  • Drafting, reviewing, and negotiating all types of contracts and documents pertaining to the Company’s usual business activities such as services, supplier, branding/marketing activities, leasing, vendors, confidentiality, IP, Corporate Social Responsibility, employment), and assess any potential legal implications or risks which need to be brought up to management attention.

  • Support in research, preliminary/final drafting, and initial negotiation of simple/complex legal documents on varied issues of Corporate Law, Commercial Law, Compliance, Contracts, Corporate Governance and International Law.

  • Review and draft legal notices and circulars to external parties, for different business units.

  • Providing expert legal advises on different contractual, commercial and legislative matters to the business units and management.

  • Conduct in depth legal analysis and assessments on all Company’s projects and business initiatives to identify potential legal risks and recommended legal solutions to ensure compliance and risk mitigation.

  • Lead efforts to ensure that all commercial activities executed by the Company comply with applicable laws, executive regulations, and industry standards, including those pertaining to consumer protection, anti- trust/ competition protection, IP, food control regulations.

  • Provide expert legal advices if required on any potential investments, M&As, legal restructurings, post-merger integrations, disposals, liquidations, conversions, capital increases, dividends declaration, intercompany transactions, dividends declaration. 

  • Collaborate with internal stakeholders in drafting and reviewing any required board of directors, shareholders’ resolutions, and agreements in connection to the said transactions. 

Regulatory & Litigation

Stay ahead and manage any potential regulatory decisions, regulations, and actions that would involve the Company, and all lawsuits filed by or against the Company, by carrying out the following:

Litigation: 

  • Delegate and manage with the selected external law firms any litigation cases or investigations.

  • Support the external law firms by providing requested evidence or documents, collaborating with relevant business units within the company to ensure necessary materials are provided.

  • Assist in offering guidance on potential legal risks associated with any lawsuit and/or investigation before a competent regulatory, to the Company’s management and stakeholders.

  • Cultivate relationships with local law firms to ensure prompt and relevant counsel for company initiatives.

  • Solicit assistance from local law firms in drafting and revising contracts that may pose regulatory or compliance risks.

Regulatory:

  • Conduct in-depth analysis and evaluate any decisions, potential actions or regulations initiated by a local regulatory authority that may apply to the Company,  assess and provide recommendations to the business management and stakeholders to ensure compliance and risk mitigation.

  • Take charge of managing and responding to any inquiries, and/ or investigations initiated by any local regulatory authority, and liaise with external law firms where needed.

  • Represent the company before regulatory authorities as needed.

  • As requested by compliance management, utilize your regulatory expertise to evaluate regulatory authorization requirements and create compliance checklists for new products and projects.

 

What did we order?

  • A bachelor's degree in law from a reputable institution and additional qualifications such as an LLM or are highly desirable.
  • Minimum five years of progressive experience in a legal role, preferably within an e-commerce and technology-driven industry or a law firm.
  • In-depth knowledge of all U.A.E laws and regulations, with a strong grasp of laws, executive regulations, and ministerial decisions related to Commerce, Competition, Intellectual property, Data protection, Corporate/Companies, Judicial and court proceedings, Criminal.
  • Demonstrated experience leading complex projects and cross-functional teams, with excellent project management, negotiation, and problem-solving skills.
  • Strong analytical and critical thinking abilities, with the capacity to assess legal risks, analyse regulatory requirements, and develop practical solutions to mitigate compliance risks.
  • Excellent communication and interpersonal skills, with the ability to effectively engage and influence stakeholders at all levels of the organization.
  • Proactive, adaptable, and results-oriented mindset, with a commitment to delivering high-quality work under tight deadlines and evolving regulatory environments.
  • Fluency in English and Arabic is required.
